Thomas M. Pearce Jr.

CEO & Chairman

Mr. Pearce is a co-founder of MAXEX and he brings 28 years of strategic advisory expertise within the community banking and insurance arenas as well as expertise within the mortgage finance, credit and asset management arenas. From 2002 to 2011, Mr. Pearce was founder and Managing Partner of Vertical Capital, LLC which was sponsored by Bank of America to specialize in the management of non-agency RMBS as well as bank loans. At its peak, Vertical managed more than $14 billion in assets. Mr. Pearce previously served on the Board of Directors of Five Oaks Investment Corp (NYSE: OAKS) a mortgage REIT sponsored by XL Group Plc and he was Chairman of the Compensation Committee. Prior to founding Vertical Capital, Mr. Pearce was a founder and CEO of Peachtree Financial, LLC, from 1998 to 2002; which was a middle-market commercial lending firm and rated servicer sponsored by First Union Bank and A.J. Gallagher. From 1986 to 1998, Mr. Pearce served as a Managing Director and senior member of the Mortgage Department at Bear Stearns where he focused on risk management solutions and portfolio optimization for community banks and insurance companies as well as expertise within the mortgage credit markets. Mr. Pearce received a BA from Washington and Lee University.

Daniel S. Baldwin, CFA

Mr. Baldwin is an independent director and head of the Compensation Committee at MAXEX. He brings many years of executive management, credit expertise, and asset management experience to the Company. He currently serves as CEO and Managing Partner of Baldwin Capital LLC, a family investment management firm. From 1998 to 2011, Mr. Baldwin was the founder, CEO, and Managing Partner of Stanfield Capital Partners LLC, a specialized credit investment management firm with assets under management at its peak in 2007 in excess of $35 billion. Stanfield was sold to The Carlyle Group in 2011. From 1985 to 1998, Mr. Baldwin was a Managing Director of Citicorp Investment Management and its successor, Chancellor Capital LGT Asset Management and served as head of all high yield products offered through the firm. From 1982 to 1985, Mr. Baldwin served as Chief Investment Officer and Senior Vice President of First Pyramid Life Insurance Company where he was responsible for investment strategies and their implementation. Mr. Baldwin received a BS/BA in Finance from the University of Arkansas.

William M. Decker, CFA

President

Mr. Decker serves as President of MAXEX and brings over 30 years of community banking, capital markets, information technology, fixed income, portfolio management, and mortgage banking experience to the Company. Prior to joining MAXEX, Mr. Decker was the founder and CEO of Lydian Data Services, a residential mortgage conduit with over 700 correspondents electronically linked to 8 out of the top 10 Wall Street dealers generating nearly $40 billion per annum in loan volume (1999-2010). Mr. Decker also founded and served as President of Lydian Trust Company, the bank holding company of Lydian. Together with its subsidiaries (Lydian Wealth Management, Lydian Data Services, and Lydian Private Bank), the company did over $130 million in revenue. Prior to Lydian, Mr. Decker served as the President of two community banks: VirtualBank and Enterprise National Bank, where he also served as Chairman and CEO. Prior to that, he spent his career in banking, portfolio management and trading with senior positions at First Atlanta/Wachovia, Southeast Bank, Barnett Bank, and Bank South. Mr. Decker received a BS in Finance from the University of Denver.

William A. Houlihan

Mr. Houlihan is an independent director and head of the Audit Committee at MAXEX. He also serves on the Compensation Committee and brings considerable accounting, community banking, mortgage finance and strategic advisory expertise to the Company. Mr. Houlihan is currently an advisor to LoanCore Capital, a privately owned commercial mortgage originator and manager; and a board member and head of the Audit Committee for Five Oaks Investment Corp (a publically owned mortgage REIT). He previously served on the board of Tiptree Financial, a publically owned holding company for insurance, asset management, mortgage originations, and other businesses; Care Investment Trust, a publically traded equity REIT; and SNL Financial, a privately-held company that maintains a database of financial information on financial institutions, REITs, energy and media. Mr. Houlihan is a private investor and has served as transitional CFO for several distressed companies including two community banks, Amalgamated Bank in New York and Hudson United Bancorp in New Jersey, as well as Metris Companies (credit cards). He has held numerous accounting and auditing positions over more than 35 years in business and finance. Mr. Houlihan has investment banking for financial institutions expertise with UBS, JP Morgan Securities, KBW, Bear Stearns, and Goldman Sachs. Mr. Houlihan received a BS in Accounting from Manhattan College and an MBA in Finance from New York University Graduate School of Business.

W. Ross Singletary

Mr. Singletary serves as a Managing Director at Arcus Capital Partners, an SEC registered investment advisor with over $1.4B is assets under management, which he co-founded in 2008. His two decades of experience in finance and wealth management give him a broad perspective of investment markets. Before joining Arcus, Ross was a Director in Credit Suisse’s Private Banking unit (2001 – 2008) and was previously with Morgan Stanley’s Private Wealth Management group (1998 – 2001). Ross serves on the Advisory Board of the Williams School of Commerce at Washington and Lee University, the only top tier liberal arts college in the country with a nationally accredited commerce school.  He is Chair of the Endowment Committee of The Sheltering Arms, an Atlanta based nonprofit early childhood education program. He holds a BA in Economics from Washington and Lee University and an MBA from Columbia University.

Frank K. Bynum Jr.

Mr. Bynum serves as a Managing Director for Kelso Private Equity and has been with Kelso since 1987. He spent the preceding two years as an Investment Analyst with New York Life Insurance Company. Frank has served as a director on the boards of many Kelso portfolio companies, including 21st Century Newspapers, Custom Building Products, Cygnus Publishing, Endurance Business Media, PSAV, Sentinel Data Centers, Truck-Lite and Universal Outdoor. He is currently a Trustee of Prep for Prep, a New York-based non-profit organization, and is an Emeritus Trustee of The College Foundation of the University of Virginia. Mr. Bynum received a B.A. in History from the University of Virginia.
