MAXEX LLC has an open position for a Senior Counsel. The Senior Counsel will play a critical role supporting the company in a wide range of corporate business, compliance and transaction related  legal matters.


  • Handle all aspects of corporate transactions, including drafting and negotiating documents such as letters of intent, term sheets, purchase and sale agreements, transactional documents associated with dispositions and financings, and other contracts and documents.

  • Work closely with technology team and other departments in vendor management selection and management, including the negotiation of licensing and service agreements and assisting in the vendor review and risk assessment process.

  • Partner with sales executives to anticipate and resolve issues involving both buyers and sellers on the company’s proprietary trading exchange.

  • Provide general counseling on a full spectrum of business and legal issues, which, in addition to general commercial matters includes intellectual property topics, data protection and security, agreements regarding confidentiality of critical business information, and other legal matters.

  • Corporate governance, including preparing and reviewing matters for board of directors and board committees, shareholder communications, Company policies and procedures, and corporate compliance.

  • Attain deep industry knowledge and special business practices within the Company’s core business lines.

  • Supervising outside counsel as required.



  • Law degree from a recognized university and admitted to a recognized bar

  • 5+ years of experience gained in large law firm, boutique and/or in-house with major firm, with significant exposure to secondary market transactions involving residential mortgage loans, including whole loan sales, warehouse financing, and servicing.

  • Strong interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organization

  • Strong negotiating skills with both legal and financial/commercial issues

  • Ability to work independently with little or no supervision

  • Experience in drafting and negotiating general vendor and technology contracts  

  • Positive attitude, high level of maturity and ability to work calmly under pressure.
